|Hong Kong Company Ordinance Revision - Significant Controllers Register, "SCR"|

We wish to highlight that the Companies (Amendment) Ordinance 2018 (the “Amendment Ordinance”) will come into operation on 1 March 2018. The Amendment Ordinance will require Hong Kong companies (subject to very limited exceptions) to keep a Significant Controllers Register (the “SCRs”) for inspection by law enforcement officers upon demand.
- Company has to keep up-to-date SCRs according to given template from time to time.
- Appoint representative to serve as a contact point for providing information about the SCR and related assistance to law enforcement officers.
- Confirm the location of significant controllers register
- If location of SCRs is changed/not keep in its’ registered office, will require to report Registrar within 15 days
Consequence of failure filing
Failure to comply with the above obligations is a criminal offence. The company and every responsible person of the company are liable to a fine at level 4 (i.e. $25,000). Where applicable, there is a further daily fine of $700.
